Article 1. Definitions

In these general terms and conditions the following terms are used in the following meaning, unless expressly indicated otherwise:

1. Your Space Amsterdam: the other party in the contract with the Customer and user of these general terms and conditions in the

sense of article 6:231 clause b of the Dutch Civil Code (Burgerlijk Wetboek), acting as provider of Services.

2. Customer: the natural or legal person who uses the Services of Your Space Amsterdam and other party in the contract with Your

Space Amsterdam in the sense of article 6:231 clause c of the Dutch Civil Code, and also every organisation with which the

Customer is affiliated in the sense of corporate law or organisational connection.

3. Agreement: the Agreement between Your Space Amsterdam and Customer on the basis of which Your Space Amsterdam will

rent an accommodation to the Customer and provide further Services to Customer against payment and the contract to which

these general terms and conditions have been declared applicable.

4. Services: all further services and facilities rendered by Your Space Amsterdam regarding the Agreement, such as catering

services or fulfilling specific wishes regarding the interior or setup of the meeting room.

5. In writing: “In writing” for the purposes of these general terms and conditions shall also include communication by e-mail, fax or

digital (for example via an online interface), provided that the identity and integrity of the content are duly established.

Article 2. Applicability

1. The present general terms and conditions are applicable to any and all offers, quotations, Agreements and Services of Your Space Amsterdam, regarding renting a meeting or event accommodation and further Services, unless this applicability is fully or partly expressly excluded in writing and/or unless expressly stipulated otherwise.

2. Any general terms and conditions of the Customer, by any name whatsoever, are expressly rejected. Deviations from and additions to these terms and conditions shall only be applicable if and to the extent that they have expressly been accepted by Your Space Amsterdam in writing.

3. If Your Space Amsterdam shall allow deviations in the current general terms and conditions – whether or not tacitly – during a short or longer period of time, this shall have no effect on its right to demand immediate and strict compliance with these general terms and conditions. The Customer shall not be able to derive any right from the manner in which Your Space Amsterdam shall apply the current general terms and conditions.

4. If one stipulation or more of the current general terms and conditions or any other Agreement with Your Space Amsterdam shall violate an imperative statutory provision or any applicable legal regulation, the stipulation concerned shall be cancelled and shall be replaced by a new, statutory admissible and comparable stipulation to be determined by Your Space Amsterdam.

1. The Customer, with whom a contract was concluded under the current general terms and conditions, shall be considered to tacitly accept the applicability of these general terms and conditions to an Agreement that shall be concluded later with Your Space Amsterdam.

2. In case of a contradiction between the current general terms and conditions and the content of an Agreement concluded between the Customer and Your Space Amsterdam, the content of the Agreement shall prevail.


Article 3. Quotations

1. Any and all proposals and offers of Your Space Amsterdam are revocable and are made subject to contract, unless indicated otherwise in writing.

2. A complex quotation shall not oblige Your Space Amsterdam to deliver a part of the Products and/or Services included in the proposal at a corresponding part of the price quoted.

3. All prices mentioned are exclusive of VAT, unless stated otherwise (currently 9% for food and non-alcoholic beverages, 21% for other). All rates are subject to change.

4. The content of the delivery shall exclusively be determined by the description of the delivery specified in the proposal. If the acceptance deviates (on subordinate points) from the proposal included in the offer then Your Space Amsterdam shall not be bound by the same. The Agreement shall in that case not be concluded in accordance with said deviating acceptance, unless Your Space Amsterdam indicates otherwise.

5. If an Agreement is quoted based on actual costs, the prices quoted shall merely serve as a guide; the actual hours worked by Your Space Amsterdam and the actual costs incurred by Your Space Amsterdam shall be invoiced.

6. Clear errors or clerical errors in the proposal of Your Space Amsterdam shall not bind Your Space Amsterdam.

7. The prices in the proposals of Your Space Amsterdam shall be exclusive of VAT and other official duties, unless indicated otherwise.

8. Your Space Amsterdam reserves the right to refuse or terminate bookings if they can harm the interests of Your Space Amsterdam or violate government regulations or these provisions and rules.

9. These general terms and conditions are part of every Agreement for the rental of space and facilities and for Agreements for catering contracted by Your Space Amsterdam and third parties.


Article 4. Conclusion of the Agreement

1. Barring the provisions set forth below an Agreement with Your Space Amsterdam shall only be concluded after Your Space Amsterdam has accepted respectively confirmed a booking in writing. The booking confirmation is deemed to correctly and completely represent the Agreement, unless the Customer immediately objects to the same in writing.

2. For bookings of two (2) or more consecutive days, 25% of the agreed price will be will invoiced before the event. Payment of this amount is required before the booking is confirmed. This amount will not be returned in the case of a cancelation. 

3. As far as Bookings placed on the website of Your Space Amsterdam are concerned, contrary to the provisions of paragraph 1 of this article, the Agreement will have been concluded at the time the Buyer has successfully gone through all steps of the online booking process.

4. Any additional arrangements or changes made at a later time will only bind Your Space Amsterdam if these are confirmed by Your Space Amsterdam in writing within five working days.


Article 5. Conduct

1. Additional Services to be carried out at the request of the Customer, and which are not part of the Agreement, will be charged to the Customer by Your Space Amsterdam.

2. The Customer can change the content of the catering and/or the number of guests up to three working days prior to the Customer’s meeting or event, unless explicitly stated otherwise in the offer.

3. It is forbidden to smoke or use drugs within the property. Your Space Amsterdam asks that the Customer respects other tenants in the building and in neighboring buildings.

4. Your Space Amsterdam is situated in a residential area of the historic city center and Your Space Amsterdam would like to maintain a good relationship with local residents. Instructions regarding safety or behavior from the hosts and other persons appointed by Your Space Amsterdam’s management, as well as directions given by the municipality, police, fire brigade and GGD must be followed promptly.

1. It is possible to change booking details up to three working days before the scheduled date, however Your Space Amsterdam may not always be able to accommodate this. Any changes to a booking require confirmation from Your Space Amsterdam at all times. If Your Space Amsterdam is unable to accommodate the new request the reservation can be canceled according to the terms below.

2. If a confirmed booking is canceled within twenty one (21) full calendar days before the start date of the event (not including the day of the event) then 25% of the agreed price, excluding food and beverage cost, will be invoiced. If a confirmed booking is canceled within fourteen (14) full calendar days before the start date of the event (not including the day of the event) then 50% of the agreed price, excluding food and beverage cost, will be invoiced. If a confirmed booking is canceled within seven (7) full calendar days before the start date of the event (not including the day of the event) 100% of the agreed price, excluding food and beverage costs, will be invoiced.

3. Your Space Amsterdam reserves the right to cancel a booking at any time. This will not hold any financial consequence for the Customer.

Article 6. Cancellations

1. It is possible to change booking details up to three working days before the scheduled date, however Your Space Amsterdam may not always be able to accommodate this. Any changes to a booking require confirmation from Your Space Amsterdam at all times. If Your Space Amsterdam is unable to accommodate the new request the reservation can be canceled according to the terms below.

If a confirmed booking is canceled within fourteen (14) full calendar days before the start date of the event (not including the day of the event) then 50% of the agreed price, excluding food and beverage cost, will be invoiced. If a confirmed booking is canceled within seven (7) full calendar days before the start date of the event (not including the day of the event) 100% of the agreed price, excluding food and beverage costs, will be invoiced.

3. For bookings of two (2) or more consecutive days, 25% of the agreed price will be invoiced before the event. Payment of this amount is required before the booking is confirmed. This amount will not be returned in the case of a cancelation. 

The general terms of cancelation still apply to the remaining balance of the quoted amount. 

4. Your Space Amsterdam reserves the right to cancel a booking at any time. This will not hold any financial consequence for the Customer.


Article 7. Payment terms

1. Invoices must be paid to the bank account of Your Space Amsterdam within fourteen (14) calendar days after the date of the meeting or event and in the currency stated on the invoice. Your Space Amsterdam also offers the ability to pay by PIN or credit card on the premises.

2. If the Customer continues to fail the timely payment of an invoice, the Customer is ipso jure in default without notice of default being required. From that moment, the Customer shall owe an interest of 1% per month. The interest over the payable amount shall be calculated from the moment that the Customer is in default. From that moment, all judicial and extrajudicial costs incurred by Your Space Amsterdam – both in court and out of court – in order to obtain payment are at the expense of the Customer. In that case, the Customer shall owe a compensation of minimum 15% of the outstanding amount with a minimum of € 150. In addition, Your Space Amsterdam shall be authorized to suspend all work activities for the Customer, including providing the Customer with information, as long as Your Space Amsterdam has not receive full payment.

3. For bookings of two (2) or more consecutive days, 25% of the agreed price will be invoiced before the event. Payment of this amount is required before the booking is confirmed. This amount will not be returned in the case of a cancelation. 

4. Your Space Amsterdam shall be entitled to annually adjust its rates per January 1, according to the price index for commercial Services of the Office of Statistics (2010 index = 100).


Article 8. Liability

1. When items are left behind, this is completely at Customer’s own risk and the management of Your Space Amsterdam can in no way be held liable for missing items.

2. Anyone who rents Your Space Amsterdam or has it available for holding a meeting is liable for all theft from, or direct and indirect damage to the building and surrounds.

3. Except when impossible due to Dutch law, Your Space Amsterdam’s liability is limited to direct damages and to a maximum of the amount that will be paid by its liability insurance. If, for any reason, no payment will be provided by the insurance company, every liability is limited to an amount of € 1.500.

4. Your Space Amsterdam is never liable for indirect damage, including physical injury, consequential damage, loss of profit, loss of savings, damage caused by business stagnation and damage caused by imposed fines and failure to meet delivery periods.

5. The limitations on liability for direct damage stated in these general terms and conditions are not applicable if the damage is attributable to intention or gross negligence on the part of Your Space Amsterdam.


Article 9. Applicable law and choice of forum

1. Dutch law shall exclusively apply to all agreements between the Customer and Your Space Amsterdam.

2. The competent court in Amsterdam shall exclusively settle disputes, unless a compulsory legal stipulation is incompatible with this.

3. These general terms and conditions are filed at the Chamber of Commerce. At all times, Your Space Amsterdam shall have the right to amend these general terms and conditions. The most recently filed version and/or the version, which applied at the time of concluding the assignment Agreement with Your Space Amsterdam, is applicable.


Article 10. Change and interpretation of the terms and conditions

1. In case of an interpretation of the content and meaning of these general terms and conditions as well as in the case of conflict between the content or interpretation of any translations of these general terms and conditions and the Dutch version, the Dutch text shall prevail each time.

2. The most-recently filed version and/or the version as applicable at the time of conclusion of the Agreement shall always apply.
